SiteKut Terms of Service

Effective date: [Month Day, 2026]

These Terms of Service ("Terms") are a contract between you and DriftWrx, Inc., a Delaware corporation doing business as SiteKut ("SiteKut," "we," "us"). They govern your use of sitekut.com, our apps, and the video clips, footage and related files we make available (the "Content") (together, the "Service"). By creating an account, buying a plan, or downloading Content, you agree to these Terms. If you are accepting for a company, you confirm you have authority to bind it, and "you" means that company.

SECTION 13 REQUIRES MOST DISPUTES TO BE RESOLVED BY INDIVIDUAL ARBITRATION AND WAIVES CLASS ACTIONS. PLEASE READ IT.

1. Who can use SiteKut

SiteKut is built for businesses. You must be at least 18 and able to form a binding contract. You may not use the Service if you are barred from doing so under U.S. law or are located in a country subject to U.S. embargo.

2. Your account

You are responsible for your login credentials and everything that happens under your account. Keep your information accurate. Each plan is licensed for the number of seats it includes; do not share logins across people or companies. Tell us right away at support@sitekut.com if you think your account has been compromised.

3. Plans, credits and billing

  1. Subscriptions. Plans renew automatically each month or year, as selected, until cancelled. You authorize us and our payment processor (Stripe) to charge your payment method for each renewal at the then-current price.
  2. Credits. Each plan includes a set number of download credits per billing period. One download of one clip uses the number of credits shown on that clip. Unused credits roll over while your subscription is active, up to two times your monthly allotment. Credits have no cash value, cannot be transferred, and expire when your subscription ends.
  3. Price changes. We will give you at least 30 days' notice before a price change takes effect at your next renewal. Continuing after that date means you accept the new price.
  4. Cancellation. Cancel anytime in your account settings. Cancellation takes effect at the end of the current billing period, and you keep access until then.
  5. Refunds. Fees are non-refundable except where required by law, or where we decide in our discretion to issue one (for example, a duplicate charge). Downloaded Content cannot be returned for credit.
  6. Taxes. Prices exclude taxes unless stated. You pay any applicable sales, use or similar taxes.
  7. Failed payments. If a payment fails, we may suspend downloads until it is resolved.

4. Your license to Content

When you download a clip with an active subscription, we grant you a worldwide, perpetual, non-exclusive, non-transferable, royalty-free license to copy, edit, and incorporate that clip into your own projects ("End Products") and to distribute, display and publish those End Products in any media, including paid advertising, social media, websites, broadcast, presentations and print.

All rights not expressly granted are reserved by SiteKut and its contributors. You get a license, not ownership.

5. What you may not do with Content

You may not:

Violating this section ends your license to the affected clips immediately, and we may suspend or terminate your account.

6. Acceptable use of the Service

You will not interfere with or disrupt the Service, attempt to access accounts or systems you are not authorized to access, reverse engineer the Service except as allowed by law, upload malware, or use the Service to violate any law or anyone's rights.

7. Contributors (when the marketplace opens)

If you upload footage to SiteKut as a contributor ("Contributor Content"), these additional terms apply, along with any Contributor Agreement we publish:

  1. Your ownership. You keep ownership of your Contributor Content.
  2. License to SiteKut. You grant DriftWrx, Inc. a worldwide, non-exclusive, royalty-bearing license to host, reproduce, modify for format and preview purposes (including watermarking, compression and thumbnails), display, market, and sublicense Contributor Content to SiteKut customers under Section 4, and to use it to promote the Service. Licenses granted to customers before you remove a clip continue after removal.
  3. Your promises. You confirm that you created the footage or own all rights to it; that you hold signed model releases for every recognizable person and property releases where required; that it does not infringe anyone's copyright, trademark, privacy or publicity rights; and that it does not depict illegal activity or unsafe work practices presented as acceptable.
  4. Payment. We pay contributors per download as set out in the Contributor Agreement. Payouts may require tax forms and a verified payout account. We may withhold payment on downloads tied to fraud, chargebacks or a rights dispute.
  5. Removal. We may decline, remove or relabel any Contributor Content at any time.

8. Copyright complaints

We respond to notices of alleged copyright infringement under the Digital Millennium Copyright Act. Send notices to our designated agent: DriftWrx, Inc., 350 Massachusetts Avenue, Suite 300, Indianapolis, IN 46204, legal@sitekut.com. Your notice must include the information required by 17 U.S.C. § 512(c)(3). We terminate the accounts of repeat infringers in appropriate circumstances.

9. Our intellectual property

The Service, its software, design, the SiteKut name and logo, and the Content library as a whole belong to DriftWrx, Inc. and its licensors. We and our affiliates may use Content across other DriftWrx, Inc. products and services. If you send us feedback or suggestions, we may use them without obligation to you.

10. Third-party services

The Service relies on third parties such as payment processors and hosting providers. Their terms may apply to your use of their services, and we are not responsible for them.

11. Disclaimers

THE SERVICE AND CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." EXCEPT AS STATED IN SECTION 12(b), WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY CONTENT DEPICTS WORK PERFORMED TO CODE, MANUFACTURER SPECIFICATION OR SAFETY STANDARDS. CONTENT IS FOR MARKETING USE, NOT INSTRUCTION.

12. Liability and indemnity

(a) Limitation. TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOST PROFITS OR REVENUE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE. OUR OBLIGATIONS UNDER SECTION 12(b) ARE LIMITED ONLY AS STATED THERE.

(b) Our content indemnity. If a third party claims that a clip you downloaded and used in compliance with these Terms infringes their copyright, trademark, or rights of privacy or publicity, we will defend you and pay resulting damages and costs finally awarded or agreed in settlement, up to $10,000 per clip. You must notify us promptly, let us control the defense, and cooperate. We may replace the clip or ask you to stop using it. This does not apply to Editorial Use Only clips used outside editorial purposes, to modifications you make, or to combinations with material we did not provide.

(c) Your indemnity. You will defend and indemnify DriftWrx, Inc. and its officers, employees and contributors against claims arising from your End Products, your breach of these Terms, or your violation of law or third-party rights.

13. Disputes and arbitration

  1. Informal first. Before filing a claim, contact legal@sitekut.com and give us 30 days to try to resolve it.
  2. Arbitration. Any unresolved dispute will be settled by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before one arbitrator, seated in Indianapolis, Indiana (or by video, if both parties agree). Judgment may be entered in any court with jurisdiction.
  3. Exceptions. Either party may bring an individual claim in small claims court, or seek injunctive relief in court for infringement or misuse of intellectual property.
  4. Class waiver. Claims may be brought only individually, not as a plaintiff or class member in any class, collective or representative proceeding.
  5. Opt out. You may opt out of this arbitration agreement by emailing legal@sitekut.com within 30 days of first accepting these Terms.
  6. Courts. For anything not subject to arbitration, you and we consent to the state and federal courts located in Marion County, Indiana.

14. Termination

You may stop using the Service at any time. We may suspend or terminate your account if you breach these Terms, fail to pay, or create legal risk for us or others. On termination your right to download ends. Licenses to clips you downloaded in compliance with these Terms survive, unless terminated for a breach of Section 5. Sections 4 (as to surviving licenses), 5, 7.2, 9, 11, 12, 13 and 15 survive.

15. General

These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws rules, and the Federal Arbitration Act governs Section 13. We may update these Terms; material changes will be posted with a new effective date and, for active subscribers, sent by email at least 30 days in advance. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. If any provision is unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver. These Terms, together with our Privacy Policy and any Contributor Agreement, are the entire agreement between us on this subject.
